## OVERVIEW
Welcome to JHADE Inc. These Terms of Sale ("Terms," "ToS," or "Agreement") govern all purchases of products through our Shopify e-commerce store located at https://jhade.us/. By completing a purchase on our store, you acknowledge that you have read, understood, and agree to be bound by these Terms of Sale, together with our Terms of Service and Privacy Policy.
These Terms of Sale apply exclusively to online purchases made through our Shopify store. They do not apply to purchases made through other channels.
**JHADE Inc. reserves the right to modify these Terms of Sale at any time without notice. Your continued use of the store and completion of purchases constitutes acceptance of any modifications.**

## SECTION 1 - DEFINITIONS
**"Products"** refers to all premium silicone suction cup phone cases and related accessories offered for sale through the Store.
**"Store"** refers to the JHADE Inc. Shopify e-commerce website and platform.
**"Customer"** or **"You"** refers to any individual or entity purchasing Products from JHADE Inc.
**"Order"** refers to a Customer's request to purchase one or more Products from the Store.
**"Personal Products"** or **"Personalized Products"** refers to Products that have been customized through engraving, monogramming, or other personalization services.
**"Pre-Order Products"** refers to Products that are not currently in stock and available for advance purchase with an estimated delivery date of up to one (1) month.
**"Gift Card"** refers to a digital or physical gift card that can be redeemed for Products on the Store.

## SECTION 2 - PRODUCT AVAILABILITY AND SCOPE
**Products Offered:** JHADE Inc. exclusively offers premium silicone suction cup phone cases through this Store. All Products are manufactured to order or made available based on inventory availability.
**E-Commerce Only:** These Terms of Sale apply exclusively to purchases made through our Shopify e-commerce store. Other sales channels (if any) are governed by separate agreements.
**Geographic Availability:** JHADE Inc. sells to customers worldwide with no geographic restrictions. Customers are responsible for verifying that the purchase and importation of Products complies with local laws and regulations in their jurisdiction.

## SECTION 3 - PRICING AND CURRENCY
**Currency and Pricing:**
- All prices are displayed in **United States Dollars (USD)**
- **Taxes are included in the displayed price**
- Pricing may vary by region based on the following structure:
- **USA, Canada, and Australia:** Unified pricing
- **Europe:** Separate pricing structure
- Customers will be shown the applicable regional price based on their shipping address
**Price Accuracy:** JHADE Inc. makes every effort to ensure prices are accurate. However, if a Product is listed at an incorrect price due to an error in our system, JHADE reserves the right to cancel that Order and refund the Customer the correct amount. The Customer will be notified of the price correction immediately.
**Price Changes:** Prices are subject to change without notice. The price charged for a Product will be the price displayed at the time the Order is placed and confirmed in the Order confirmation email.

## SECTION 4 - ELIGIBILITY AND RESTRICTIONS
**Eligibility:**
- You must be at least eighteen (18) years of age to purchase Products
- You must provide accurate, current, and complete information at checkout
- You agree to use the Store only for lawful purposes
**No Geographic Restrictions:** JHADE Inc. does not impose geographic restrictions on purchases. However, Customers are responsible for compliance with all local, state, and international laws regarding the purchase, import, and use of Products.
**No Quantity Restrictions:** There are no limits on the quantity of Products a Customer may purchase in a single Order.
**Bulk/Wholesale Purchases:** JHADE Inc. accepts bulk purchases and wholesale Orders directly from the Store without minimum order quantity requirements. Bulk orders are subject to the same pricing and terms as individual purchases. For questions about large wholesale Orders (1,000+ units), please contact support@jhade.com.

## SECTION 5 - ORDER PLACEMENT AND CONFIRMATION
**Order Submission:** By clicking "Complete Purchase" or equivalent checkout button, you are making an offer to purchase Products from JHADE Inc. This action is binding and constitutes a legal contract offer.
**Order Acceptance:** Your Order is not accepted until JHADE Inc. confirms acceptance via email confirmation. JHADE reserves the right to accept or reject any Order for any reason at its sole discretion, including but not limited to:
- Suspected fraudulent activity
- Incomplete or inaccurate information
- Products currently unavailable
- Technical errors or system failures
**Timing of Confirmation:**
- Order confirmation emails are automatically sent within a maximum of twenty-four (24) hours of Order submission
- If you do not receive a confirmation email within 24 hours, contact support@jhade.com immediately
- Your Order is only binding once you receive the confirmation email
**Automatic Confirmation Email:** JHADE Inc. sends automatic confirmation emails to the email address provided at checkout. It is your responsibility to:
- Provide an accurate and monitored email address
- Check spam/junk folders if confirmation does not appear in your inbox
- Contact JHADE immediately if you do not receive confirmation within 24 hours

## SECTION 6 - ORDER MODIFICATION AND CANCELLATION
**Modification by Customer:**
- You may request to modify an Order after submission, including changing quantities, addresses, or products
- Modification requests must be submitted via email to support@jhade.com within a reasonable time (typically within 12 hours of Order placement)
- JHADE Inc. will attempt to accommodate modification requests but makes no guarantee
- If your Order has already been processed or shipped, modifications cannot be made; you must instead initiate a return according to our Return and Refund Policy (see Terms of Service Section 4)
**Cancellation by Customer:**
- You may request to cancel an Order at any time before shipment
- **Cancellation Penalty:** If you cancel an Order, a cancellation fee of **$5 USD or €5 EUR** (depending on your region) will be deducted from your refund
- Example: If you purchase a $50 product and cancel, you will receive a $45 refund after the cancellation fee
- Cancellation requests must be submitted via email to support@jhade.com or phone +1 818-056-8888
- JHADE will process cancellations within 24 hours and issue a refund within 5-7 business days
**Pre-Order Cancellation:** Pre-Order Products are non-refundable and cannot be cancelled once the Order is confirmed. See Section 9 for Pre-Order terms.
**Personalized Product Cancellation:** Personalized Products cannot be cancelled or modified after Order confirmation. See Section 7 for Personalized Product terms.

## SECTION 7 - PERSONALIZED PRODUCTS
**Personalization Services:** JHADE Inc. offers personalization services including engraving, monogramming, and custom initials on select Products.
**Non-Modifiable:** Once an Order containing Personalized Products is confirmed, you cannot modify, cancel, or change the personalization details under any circumstances.
**Non-Refundable:** Personalized Products are **final sale and completely non-refundable and non-returnable** for any reason whatsoever, including but not limited to:
- Dissatisfaction with the personalization result
- Misspelled names or initials (even if caused by your own error)
- Change of personal preference after Order confirmation
- Any manufacturing or quality issues (except defective materials upon delivery, which may be evaluated case-by-case)
**Additional Fees:** Personalization services incur additional fees beyond the base Product price. These fees are non-refundable.
**Verification Responsibility:** You are solely and entirely responsible for:
- Verifying all personalization details (names, initials, spellings, dates, symbols) before completing your purchase
- Reviewing the personalization details in your Order confirmation email
- Contacting JHADE within 24 hours of Order confirmation if you notice any errors
**No Corrections After Confirmation:** JHADE Inc. will not correct, remake, or refund Personalized Products due to Customer-submitted errors or changes of mind after Order confirmation.
**Automatic Acceptance:** By completing a purchase containing Personalized Products, you automatically accept and agree to these terms. You do not need to check an additional box or provide separate consent.

## SECTION 8 - PROMOTIONAL CODES AND DISCOUNTS
**Promotional Code Terms:**
- Promotional codes are provided by JHADE Inc. for one-time use only
- **Non-Stackable:** Only one (1) promotional code may be applied per Order. Multiple codes cannot be combined
- **Expiration Date:** All promotional codes expire one (1) year from the date of issuance (or as specified in the promotion terms)
- **Product Exclusions:** Certain Products and product categories are excluded from promotional code discounts. Excluded products will be clearly marked on the Store with language such as "Not eligible for promotional codes"
- **Personalized Products:** Promotional codes typically cannot be applied to Personalized Products unless explicitly stated in the promotion terms
- **Limited Quantity:** Promotional codes may have usage limits or be available only for a limited time period
**Price Match Guarantee:** JHADE Inc. offers a Price Match Guarantee. If you find the same JHADE Inc. Product listed at a lower price from another authorized retailer within thirty (30) days of your purchase, JHADE will match that price. To claim price match:
1. Provide proof of the lower price (screenshot, link, etc.)
2. Contact support@jhade.com with your Order number and price comparison
3. JHADE will verify the competing price and issue a refund for the difference if eligible
**Non-Transferable:** Promotional codes are non-transferable and cannot be resold, traded, or gifted.
**No Cash Value:** Promotional codes have no cash value and cannot be redeemed for cash.

## SECTION 9 - PRE-ORDER PRODUCTS
**Definition:** Pre-Order Products are Products not currently in stock. By purchasing a Pre-Order Product, you are requesting to reserve a Product with an estimated delivery date.
**Estimated Delivery:** Pre-Order Products have an estimated delivery window of up to one (1) month from the Order confirmation date. This is an estimate only and not a guarantee.
**Non-Refundable:** All Pre-Order Products are **completely non-refundable and non-returnable** once the Order is confirmed. You acknowledge and accept this non-refundable status by completing the purchase.
**Automatic Acceptance:** By completing a purchase of a Pre-Order Product, you automatically accept that the product is non-refundable. No additional consent or checkbox is required.
**Delay Acknowledgment:** You acknowledge that Pre-Order Products may experience delivery delays due to:
- Production delays
- Shipping carrier delays
- Customs processing
- Events beyond JHADE Inc.'s control
**No Compensation for Delays:** JHADE Inc. is not liable for delays in Pre-Order delivery and will not provide compensation, partial refunds, or discounts due to delayed delivery of Pre-Order Products.
**Cancellation:** Pre-Order Products cannot be cancelled after Order confirmation. If you attempt to cancel, you will be held liable for the full Order amount.
**Status Updates:** JHADE Inc. will provide status updates on Pre-Order Products via email at key milestones (production start, shipment, delivery).

## SECTION 10 - GIFT CARDS
**Gift Card Terms:**
- **Denominations:** Gift Cards are available in denominations of $25 USD to $500 USD
- **Format:** Gift Cards are available in digital or physical format
- **Validity Period:** Gift Cards are valid for twelve (12) months (one year) from the date of purchase
- **Expiration:** After twelve (12) months, the Gift Card balance expires and becomes non-redeemable
- **No Refund or Exchange:** Once purchased, Gift Cards are non-refundable and cannot be exchanged for cash or other products
- **No Reissue:** JHADE Inc. will not reissue lost, stolen, or damaged Gift Cards
- **Balance Tracking:** It is the Gift Card holder's responsibility to track their balance and redemption deadline
- **Terms Apply:** Products purchased with Gift Cards are subject to all terms and conditions of this Terms of Sale and our Terms of Service
**Usage:**
- Gift Cards can be redeemed during checkout by entering the Gift Card code
- One (1) Gift Card can be used per transaction (though additional payment methods can be used)
- Partial redemption is allowed; the remaining balance stays on the Gift Card until expiration
**Fraud Prevention:** JHADE reserves the right to cancel Gift Cards suspected of fraudulent activity or misuse.

## SECTION 11 - AFFILIATE AND REFERRAL PROGRAM
**Program Structure:** JHADE Inc. operates a Referral and Affiliate Program ("Program") that allows Customers to earn rewards by referring others to purchase Products.
**How It Works:**
- A participating Customer (the "Referrer") generates a unique personalized referral link
- The Referrer shares this link with friends and contacts
- When a new Customer (the "Referred Customer") clicks the unique link and makes a purchase, both the Referrer and Referred Customer receive rewards
- Rewards vary by campaign and may include: points, promotional codes, personalization credits, or other incentives
**Reward Types:** Specific rewards are determined by the Affiliate Campaign in effect at the time of purchase. JHADE will clearly communicate current rewards when the unique referral link is generated.
**Eligibility:**
- Only valid purchases through the unique referral link qualify for rewards
- Purchases must be completed within 24 hours of clicking the referral link
- Previous Customers of JHADE who use a referral link for subsequent purchases may qualify for rewards (depending on campaign terms)
**Reward Distribution:**
- Referrer rewards are credited to the Referrer's account within 24 hours of the Referred Customer's Order confirmation
- Referred Customer rewards are applied automatically during checkout when using the referral link
- Rewards cannot be combined with other promotional offers unless explicitly stated in campaign terms
**Fraud Prevention:** JHADE reserves the right to deny or revoke rewards if suspicious or fraudulent referral activity is detected, including:
- Multiple referrals from the same IP address
- Referrals from known bot networks or fraud rings
- Self-referral attempts
**Program Changes:** JHADE reserves the right to modify, suspend, or terminate the Affiliate Program at any time without notice.

## SECTION 12 - PAYMENT METHODS AND PROCESSING
**Accepted Payment Methods:** JHADE Inc. accepts the following payment methods:
- Stripe
- PayPal
- Apple Pay
- Google Pay
- Klarna
- Afterpay
- Visa
- Mastercard
**Payment Processing:**
- Payment is processed at the time of Order confirmation
- Your payment method will be charged the full Order amount including taxes and shipping
- If payment fails, your Order will not be accepted and you will receive notification via email
**Declined Payments:** If your payment is declined, contact your financial institution or payment provider to resolve the issue, then resubmit your Order.
**PCI Compliance:** JHADE Inc. does not store complete credit card information. All payment processing is handled securely through our payment processors in compliance with PCI-DSS standards.
**Billing Address:** Your billing address should match the address associated with your payment method for fraud prevention purposes.

## SECTION 13 - FRAUD PREVENTION AND VERIFICATION
**Right to Verify:** JHADE Inc. reserves the right to:
- Request additional information to verify your identity
- Conduct fraud checks before processing or shipping an Order
- Decline or cancel suspicious Orders at any time, for any reason
**Suspicious Activity:** JHADE may flag Orders as suspicious based on factors including but not limited to:
- Unusual shipping addresses or geographic locations
- High-value or high-quantity Orders
- Multiple Orders from the same payment method in short time periods
- Mismatches between billing and shipping addresses
- VPN or proxy IP addresses
- Inconsistent customer information
**Verification Process:** If JHADE determines an Order may be fraudulent, we will:
1. Contact you via email at the address provided
2. Request additional information (government ID, payment verification, etc.)
3. Suspend the Order pending verification
4. Refund the Order if you do not respond within 48 hours or verification fails
**Right to Refuse:** JHADE reserves the right to refuse any Order for any reason, including suspected fraud.

## SECTION 14 - SUCTION CUP TECHNOLOGY ACCEPTANCE
By completing your purchase, you acknowledge and accept the Suction Cup Technology Disclaimer outlined in the Terms of Service Section 9. You understand that:
- Suction cup performance may vary based on surface texture, environmental conditions, and maintenance
- Suction adhesion is not guaranteed to function in all situations
- JHADE is not responsible for damage to surfaces or failure of suction functionality
- You have read and understood all limitations of suction cup technology before purchase
**Automatic Acceptance:** By completing your purchase, you automatically accept these terms. No additional consent checkbox is required.

## SECTION 15 - COLOR AND APPEARANCE VARIATIONS
By completing your purchase, you acknowledge and accept the Color and Appearance Variations Disclaimer outlined in the Terms of Service Section 2. You understand that:
- Colors displayed on your screen may vary significantly from the actual Product color
- Device screen settings, brightness, lighting, and monitor calibration affect how colors appear
- Natural material variations in silicone manufacturing may result in slight color differences between Products
- Color variations do not constitute a defect or quality issue
- JHADE does not warrant that colors will match your expectations or screen displays exactly
**Automatic Acceptance:** By completing your purchase, you automatically accept these terms. No additional consent checkbox is required.

## SECTION 16 - WARRANTIES AND DISCLAIMERS
**No Product Warranty:** JHADE Inc. offers **no warranty** on any Products sold. All Products are provided "as is" and "as available" without any warranty, guarantee, or representation.
**Limited Defective-on-Delivery:** The only exception to the no-warranty policy is if a Product arrives defective or non-functional due to manufacturing defects. In such cases, you may request a replacement within 7 days of delivery with photographic evidence of the defect. Replacement is at JHADE's sole discretion.
**Exclusions:** The limited defective-on-delivery exception does not cover:
- Color variations or appearance differences
- Minor imperfections or cosmetic flaws
- Normal wear and tear
- Damage caused by Customer use, handling, or negligence
- Suction cup functionality issues (covered by separate disclaimer)

## SECTION 17 - LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, JHADE INC. AND SHOPIFY SHALL NOT BE LIABLE FOR:
- Lost profits, lost revenue, lost data, or loss of use
- Indirect, incidental, special, punitive, or consequential damages
- Damages arising from your use of Products
- Any claim related to Product defects, appearance, performance, or quality
THIS APPLIES REGARDLESS OF WHETHER LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER JHADE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

## SECTION 18 - FORCE MAJEURE
**Events Beyond Control:** In the event that JHADE Inc. is unable to fulfill Orders or deliver Products due to events beyond its reasonable control, including but not limited to:
- Natural disasters (earthquakes, floods, hurricanes)
- Wars, terrorism, civil unrest
- Pandemics or epidemics
- Government actions or embargoes
- Shipping carrier failures
- Other unforeseeable circumstances
**JHADE's Response:** Upon occurrence of a Force Majeure event, JHADE will:
1. Attempt to resume fulfillment as soon as reasonably possible
2. Notify affected Customers via email of the delay and estimated resolution
3. Offer the option to wait for delivery or receive a **complete full refund** with no penalties or fees
**Refund Process:** Customers electing to receive a refund due to Force Majeure will receive the full Order amount (including all taxes and shipping costs) with no deductions. Refunds will be processed within 7-10 business days.

## SECTION 19 - ENTIRE AGREEMENT
These Terms of Sale, together with our Terms of Service and Privacy Policy, constitute the entire agreement between you and JHADE Inc. regarding the purchase of Products and supersede all prior negotiations, representations, and agreements, whether written or oral.

## SECTION 20 - MODIFICATIONS
**Right to Modify:** JHADE Inc. reserves the right to modify these Terms of Sale at any time without notice. Modifications take effect immediately upon posting to the Store.
**Continued Use:** Your continued use of the Store and completion of purchases after modifications constitute your acceptance of the modified Terms.

**Governing Law:** These Terms of Sale are governed by the laws of the State of California, without regard to its conflict of law principles.
